Chapter I General
To implement the spirit of the national Conference on Science and Technology, serve and promote independent innovation strategy and the construction of innovation-oriented country, the Ministry of Science and Technology and Shanghai Municipal Government founded jointly Pujiang Innovation Forum in 2008.
Article 1 Designation
The organization is named Pujiang Innovation Forum (the Forum, hereinafter). The English translation is: PUJIANG INNOVATION FORUM, abbreviated as PIF.
Article 2 Nature
The Forum is a high-level international Forum established on a non-profit and regular basis on the same venue. It is composed of governments, enterprises, colleges and universities, scientific research institutions and other organizations and individuals.
Article 3 Tenet
The theme of the Forum is innovation. In adherence to the international perspective, the national needs and the purpose of serving the independent innovation strategy and building an innovation-oriented country, the Forum is committed to setting up a platform to promote communication in innovation, extension of advanced ideas, contention of academic thoughts, interaction between government departments, enterprises, universities and research institutes, and release of new policies.

Article 5
The Forum observes the Constitution of the People’s Republic of China and laws and regulations and accepts the guidance, supervision and management from competent governmental authorities.
Chapter II Scope of Business
Article 6
The scope of business of the Forum includes:
1. Hosting the Forum, seminars and workshops to discuss on the strategies, methods and policies concerning the scientific and technological development, innovation and management and the integration between science and technology and the economic and social development as well as other important issues;
2. Promoting cooperation of governments, enterprises, universities, research facilities, financial institutions and intermediary agencies via networking of the Forum; and
3. Organizing information exchanges, publication of journals and series and all other activities that facilitate realization of the tenet of the Forum.
Article 7 Achievements of the Organization
1. Organizing a high-level Forum on a yearly basis by inviting government officials, experts, and people from industries and science and technology fields who will touch upon key issues about current strategies and policies for science and technology;
2. Calling irregular symposiums for discussion on key issues in the science and technology fields;
3. Sponsoring publication of the journal Pujiang Innovation Forum; and
4. Organizing publication of book series related to scientific and technological innovation.
Chapter III Organization Structure
Article 8 The organization structure of the Forum is composed of:
1. The Organizing Committee;
2. The Advisory Board;
3. The Academic Advisory Committee;
4. The Secretariat;
5. The Program Committee;
6. Shanghai Pujiang Innovation Forum Center (the Forum Center, hereinafter);
Article 9 The Organizing Committee
The Organizing Committee is the highest decision making body of the Forum. It guides the Forum work in accordance with the tenet of the Forum.
1. The Organizing Committee consists of the representatives of the organizers, the sponsors and other invited representatives from relevant state ministries and agencies and celebrities from relevant social sectors;
2. The tenure of office of the Organizing Committee is 5 years and renewable;
3. The leadership of the Organizing Committee consists of the Director, Executive Deputy Directors, Deputy Directors and Secretary-General;
4. The Organizing Committee calls 1 to 2 meetings per year, with 1 held simultaneously with the annual meeting of the Forum.
5. The Organizing Committee Meeting shall be held only if half of the members are present. Members that can’t attend the Organizing Committee Meeting for some reason may appoint representatives in writing to attend the meeting on their behalf.
6. Resolutions of the Organizing Committee should be passed by a simple majority of the members attending the meeting. The Organizing Committee may also decide resolutions on key forum issues or matters of urgency without calling a meeting.
Article 10 Functions of the Organizing Committee
1. Leading development of the Forum, deciding its positioning, development plan and theme of annual meetings;
2. Formulating and amending the Charter for the Forum and approving key rules and regulations;
3. Inviting advisors and experts for the Advisory Board and Academic Advisory Committee;
4. Appointing Secretary-General, Deputy Secretary-General and Chairman for the Forum Center;
5. Deliberating and approving annual work report, annual budget and final account statements submitted by the Secretariat;
6. Determining other key issues related to the Forum.
Article 11 The Director, Executive Deputy Director and Deputy Directors
1. The Director shall be recommended by the organizer, who also serves as the Chairman of the Forum;
2. The Executive Deputy Director shall be taken by the person in charge of the organizer;
3. The Deputy Directors are proposed by the Director or Executive Deputy Director and selected upon discussions by the Organizing Committee.
Article 12 Duties of the Director
1. Presiding over the Organizing Committee Meetings;
2. Supervising the formulation of the mid- and long-term plans and programs that benefit fulfillment of the forum’s tenet and its interest;
3. Undersigning non-provisional, unbinding and non-administrative paperwork and correspondences on behalf of the Forum upon authorization by the Organizing Committee;
4. Exercising other duties delegated by the Organizing Committee.
Article 13 Duties of the Executive Deputy Director and Deputy Director
1. Assisting the Director in exercising the duties and coordinating relevant administrative affairs between the organizers;
2. Exercising relevant duties delegated by the Director on his/her behalf;
3. Exercising relevant duties empowered by the Organizing Committee.
Article 14 Rights and Obligations of the Members of the Organizing Committee
1. Attending Organizing Committee Meetings and relevant consultation and seminars organized by the Organizing Committee ;
2. Undertaking annual meetings and relevant events arranged and delegated by the Organizing Committee;
3. Proposing opinions and suggestions for the forum development;
4. Recommending resources of all sorts which are conductive to the forum development;
5. Abiding by the Charter of the Organizing Committee and safeguarding social image of the Forum.
Article 15 Secretary-General and Deputy Secretary-General
The Organizing Committee selects Secretary-General and Deputy Secretary-General. The principal of the competent department of the Ministry of Science and Technology serves as Secretary-General while the competent official from Shanghai Municipal Government Deputy Secretary-General. The Secretary-Generals shall exercise duties as follows
1. The Secretary-General shall handle daily routines of the Forum, execute rules and regulations approved by the Organizing Committee, leading the work of the Forum Center, implement other affairs entrusted or delegated by the Organizing Committee and represent the forum externally.
2. Deputy Secretary-General is taken by competent leader of the sponsor and Chairman of the Forum Center, who will assist the Secretary-General to handle t he daily routines of the Forum and other relevant affairs entrusted or delegated by the Secretary-General.
Article 16 Advisors for the Forum
The Forum shall engage high-level leaders, renowned experts and scholars and prestigious entrepreneurs, who will exert an important role in guiding the forum development.
Article 17 Academic Advisory Committee
1. The Academic Advisory Committee is composed of high-level experts, who are authoritative persons from the governmental departments, the academia, the industries and the science and technology sector. . Members of the Academic Advisory Committee shall be appointed or dismissed by the Organizing Committee. Academic Advisory Committee shall exercise duties as follows:
2. Chairing the theme research for the annual meetings of the Forum and offering decision-making suggestions for the Organizing Committee ;
3. Proposing speaker candidates to the Organizing Committee in accordance with the theme of the annual meeting of the Forum;
4. Taking charge of the forum survey, evaluating and releasing research achievements.
Article 18 Secretariat
The Secretariat is an executive authority under the Organizing Committee. It conducts work under the leadership of the Secretary-General. Secretariat shall exercise the following duties:
1. Preparing all meetings of the forum;
2. Executing resolutions of the Organizing Committee;
3. Reviewing work plans and layout of internal management institutions of the Forum Center;
4. determining the engagement or dismissal of the Director of the Forum Center and his/her compensations according to the nomination made by the Chairman of the Forum Center;
5. Safeguarding comprehensively fiscal support for the stability of the Forum;
6. The Secretariat calls at least 3 meetings per year to research and propose the scheme for the annual meeting, annual plan and budget of the Forum, hear work report of key issues in the preparation phase, hold forum wrap-up meeting and deliberate operation program for next session;
7. Fulfilling other duties as entrusted by the Organizing Committee.
Article 19 Program Committee
Program Committee is responsible for the political affairs and the coordination with the governmental departments and provides work supports for specialized forum institutions. The Secretary-General and the Deputy Secretary-General who is in charge of the matters related to Shanghai Municipal Government act as Director of the Program Committee. The members include relevant principals from the Ministry of Science and Technology and competent departments of Shanghai Municipal Government. It shall exercise duties as follows:
1. Coordinating the relations between departments at the national, provincial or municipal level for the preparation for the Forum;
2. Dispatching resources at the national, provincial or municipal level for the preparation of the Forum;
3. Inviting key leaders at the national, provincial or municipal level for the Forum at the request of the Forum Center.
Article 20 Center for Pujiang Innovation Forum
Center for Pujiang Innovation Forum is the permanent establishment of the Forum. It is a private non-enterprise unit incorporated in Shanghai. The Forum Center conducts work under the leadership of the Secretariat, responsible for the daily operations and preparatory work of the Forum.
1. The Forum Center implements the system of the director responsibility under the leadership of the Board of Directors. It sets up internal departments reasonably as needed, formulate and improve internal management mechanism, rules and regulations and submit to the Secretariat for approval before putting them into execution;
2. The duties of the Forum Center include: drafting work schemes and reports for the Forum, executing the budget, raise operations funds and fulfilling meeting preparations for the Organizing Committee and Secretariat;
3. The Chairman of the Forum Center is the legal representative of the Forum Center. It is nominated by the Secretariat, approved and appointed by the Organizing Committee and responsible for the Secretariat. The Chairman of the Forum Center also serves as the Executive Deputy Secretary-General of the Organizing Committee and represents the Forum externally;
4. Director of the Forum Center is nominated by the Chairman of the Forum Center and approved and appointed by the Secretariat. Director of the Forum Center presides over the daily routines of the Forum Center and reports to the Chairman.
Chapter IV Funds and Financial Management
Article 21 Source of Funds
1. Participation fee;
2. Corporate and social donations;
3. Government subsidies;
4. Revenues from activities or services provided based on tenet of the Forum and within the business scope;
5. Interest; and
6. Other legitimate incomes.

Article 23 Financial Management
The organization strictly abides by state financial management systems. It has established a rigorous financial management system to ensure legitimacy, authenticity, accuracy and integrity of the financial data.
Chapter V Procedures of Amending the Charter
Article 24
Any amendment to the Charter of the Forum shall be submitted to the Organizing Committee for review and approval.
Chapter VI Termination Procedures and Disposal of Property upon Termination
Article 25
The Organizing Committee shall move a motion on termination of the Forum when it fulfills its tenet, or is dissolved on itself, or requires cancellation in the excuse of merger, dismantlement, etc.
Article 26
The residues of the Forum’s assets upon termination shall be used for undertakings related to the forum’s tenet according to relevant state regulations.
Chapter VII Supplementary Provisions
Article 27
Any matters not covered in the Charter could be specified in relevant detailed rules. The detailed rules shall have the equal legal effect with the Charter upon approval of the Organizing Committee.
Article 28
The Organizing Committee of Pujiang Innovation Forum reserves the right to construe the Charter.
